Terms of Service

Pre-launch draft
These terms are a pre-launch placeholder. A final version, reviewed by Canadian privacy counsel, will replace this page before paid subscriptions are enabled. By using Keylane during this pre-launch period, you agree to these provisional terms; the final version will not be materially less protective of your rights.
1. Acceptance
By accessing or using Keylane (the "Service"), operated by Keylane Software Inc. ("we", "us", "Keylane"), a corporation organized under the laws of Canada and based in Winnipeg, Manitoba, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Eligibility
You must be at least the age of majority in your province of residence and have legal capacity to enter into a binding agreement. By creating an account you represent that you meet these requirements.
3. Accounts and roles
Keylane recognizes three primary user roles: landlords, tenants, and trades. Each role has a different scope of access enforced by Row Level Security on our database.
- Landlord accounts are created at sign-up. The landlord is the customer of record and is responsible for the data they enter, the units they manage, and the tenants they invite.
- Tenant accounts are created by invitation from a landlord. Tenants do not pay for the Service; their landlord is the customer of record for the unit.
- Trade accounts are created by Keylane administrators after application review. Trades have a portal scoped to purchase orders sent to them.
You are responsible for safeguarding your credentials. Notify us immediately at admin@keylane.ca if you suspect unauthorized access.
4. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law (including the Residential Tenancies Act of any Canadian province, PIPEDA, CASL, or human rights legislation).
- Use the Service to harass, defame, or discriminate against any person, including any tenant or applicant.
- Upload content you do not have the right to share, including personal information you did not collect lawfully.
- Attempt to access data of organizations or users other than your own.
- Reverse-engineer, scrape, or attempt to extract source code or proprietary algorithms.
- Use the Service to send unsolicited commercial electronic messages in violation of CASL.
5. Subscription tiers and billing
The Free tier is offered at no charge for unlimited units. Paid tiers (Starter and Pro) are not yet billable during the pre-launch period; pricing and billing terms will be finalized in the production version of these Terms.
For credit card rent payments, Stripe charges a per-transaction fee of 2.9% plus $0.30 CAD as the payment processor. Keylane charges a platform service fee of $0.50 CAD per transaction by default (configurable from $0.00 to $10.00 on the Pro tier) for use of the Keylane rent collection, ledger, and tenant portal services. By default both fees are disclosed to the tenant and passed through as a transaction surcharge; on Starter and Pro the landlord may elect to absorb both fees instead. The full rent amount flows directly from Stripe to the landlord's Stripe Connect Standard account; Keylane does not hold customer funds.
6. Your content and data
You retain ownership of all content you upload (leases, documents, photos, messages, signatures, etc.). You grant Keylane a non-exclusive, royalty-free, worldwide licence to host, process, transmit, and display that content solely to provide the Service to you and the users you authorize.
Landlords are responsible for ensuring they have the right to upload tenant personal information and that tenants have been provided notice consistent with PIPEDA.
7. Third-party services
The Service integrates with third-party providers including Stripe (payment processing), Resend (transactional email), Supabase (database and storage, hosted in Canada), Sentry (error monitoring, EU-hosted), PostHog (product analytics, EU-hosted), Anthropic (AI helper inference, US-hosted), and, as integrations come online, SingleKey (tenant screening) and FrontLobby (rent reporting). Use of these providers is subject to their respective terms; we list them in our Privacy Policy.
8. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Keylane disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Keylane does not provide legal, accounting, or tax advice. Document templates, notice generators, and any guidance provided by the in-app AI helper are informational only; consult a licensed professional in your jurisdiction for advice specific to your situation.
9. Limitation of liability
To the maximum extent permitted by applicable law, Keylane and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or relating to your use of the Service, whether in contract, tort, or any other legal theory.
Our aggregate liability for any claims arising from or related to the Service is limited to the greater of (a) the fees you paid to Keylane in the twelve months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
10. Indemnification
You agree to indemnify and hold harmless Keylane from any claims, losses, liabilities, or expenses (including reasonable legal fees) arising out of: (a) your violation of these Terms; (b) your violation of any law or third-party right (including a tenant's privacy rights); or (c) content you upload to the Service.
11. Termination
You may close your account at any time by emailing admin@keylane.ca. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, sections 6, 8, 9, 10, 12, and 13 survive.
12. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict-of-laws principles. The courts of Manitoba have exclusive jurisdiction over any dispute, subject to any non-waivable rights of consumer protection legislation that may apply in your province of residence.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to landlords by email and posted at this URL with a new "Last updated" date. Continued use of the Service after a change indicates acceptance.
